There is a contract? And there is disagreement over the terms? I would just take the contract to a lawyer. The lawyer would be able to break down the particular terms to our understanding.

If the person do not agree to the terms in the contract, i believe the best thing to doe would be to review it and find another way. If the person keeps refusing it then it clearly shows you cannot work with them.

A contract is legally binding. You can just use your goodwill and discretion to review it. That's why people need to study contracts before they append their signature on them.
